FLAGLER TRUMP CLUB BY LAWS
ARTICLE I - NAME
The name of the Organization shall be Flagler Trump Club.
ARTICLE II - PURPOSE
The purpose of the Organization shall be to support the President of the United States, Donald J. Trump, and his policies.
Section 1. Make the community aware of President Trump's policies.
Section 2. Support candidates that will promote President Trump's policies to MAKE AMERICA GREAT AGAIN.
Section 3. Support and work for the re-election of President Trump in 2020.
MISSION STATEMENT: Attract, educate, organize citizens to accomplish the stated objective.
ARTICLE III - MEMBERS
Section 1. Membership shall be open to all citizens who are interested in promoting the purpose of the Organization.
Section 2. Membership dues will be set at $30 for individuals and $50 for a couple
ARTICLE IV - MEETINGS
Section 1. Meetings shall be held bimonthly on the even numbered months of the year starting in February. Additional meetings may be called as needed by the President.
Section 2. Quorum for membership meetings shall be four members of the
Board and a simple majority of paid attendees.
Section 3. Quorum for Board Meetings shall be four members of the Board.
ARTICLE V - THE EXECUTIVE BOARD
Section 1. The Executive Board shall consist of the four officers; President, Vice President, Secretary and Treasurer; and three additional Board Members. These officers shall perform the duties prescribed by these By Laws.
Section 2. Board's Duties and Powers. The Executive Board shall be subject to the orders of the organization and none of the its acts shall conflict with actions taken by the organization.
The Executive Board shall appoint a member to fill a vacant position to complete the term of an elected office or committee chairperson.
A quorum of the Executive Board has the authority to spend the amount not to exceed $250.
Section 3. Board Meetings. The Executive Board shall meet twelve times a year. The President or any two members of the Executive Board may call a meeting with at least a two week notice to the members. A quorum of the Executive Board is four members. The meetings may be in person or via any electronic method deemed suitable by the Board.
If a Board member is absent four times during any calendar year, his/her position on the Board is terminated; and it will be filled in accordance with ARTICLE V, Section2 of the By Laws.
ARTICLE VI - DUTIES OF THE OFFICERS
Section 1. The duties of the President are to represent the membership in all matters, conduct bimonthly membership meetings, and Executive Board meetings. The President shall report on the activities of the Executive Board at the bimonthly membership meetings, enforce By Laws and all rules adopted by the Executive Board, and call special meetings as may be necessary. The President shall have no voting rights except when a tie vote occurs. The President, along with the Treasurer is a signatory on bank accounts.
Section 2. The duties of the Vice President are to assume the duties of the President in his/her absence, subject to all restrictions imposed on the President.
Section 3. The duties of the Secretary are to maintain the By Laws including any amendments thereof, prepare and maintain records of minutes of membership meetings, Executive Board meetings and correspondence.
Section 4. The duties of the Treasurer are to maintain the Organization's financial records by recording all income and disbursements, paying expenses approved by the Executive Board, and to make a report at bimonthly membership meetings and Executive Board meetings. Treasurer shall be responsible for submitting annual quarterly reports to the Flagler County Elections Office. Each member of the Executive Board shall have access to financial and banking records. Any dues paying member shall have access to financial and banking records.
ARTICLE VII - ELECTION OF OFFICERS
Section 1. Procedures
Election of Club Officers shall take place on odd numbered years for a two year term.
Election of three additional Board members shall take place in even numbered years for a two year term.
Section 2. Elections.
Nominations and voting for officers shall take place at December regular membership meeting of odd numbered years.
Nomination and voting for three Executive Board Members shall take place a December regular membership meeting in even numbered years.
ARTICLE VIII - COMMITTEES
All committees shall provide information to the Executive Board and Membership.
Section 1. Standing Committee Chairpersons shall be appointed by the President.
Membership Committee: Process membership applications, maintain membership list, and recruit new members.
Communications Committee: Responsible for newspaper and radio announcements, letters to the editors, communications with elected representative, the website, and the facebook page.
Events Committee: Responsible to organize events including space, time, format of event, staffing, and cleanup.
Section 2. Special Committees: Special committees shall be appointed at the discretion of the President.
ARTICLE IX - COMPENSATION OF MEMBERS AND OFFICERS
Members and officers are volunteers and receive no wages, compensation, or benefits.
ARTICLE X - PARLIAMENTARY AUTHORITY
Roberts Rules Of Order shall govern in all cases to which they are applicable and in which they are not inconsistent with By Laws and any special rules of order that the organization may adopt.
ARTICLE XI - DISSOLUTION OF ORGANIZATION
All remaining assets will be donated to another charitable organization.
ARTICLE XII - AMENDMENT OF BY LAWS
By Laws may be amended at regular membership meetings by two thirds vote of the dues paying members present, provided the amendment has been submitted in writing to the Executive Board twenty days in advance.
